TERMS AND CONDITIONS OF BUSINESS:

2. INTERPRETATION In these Terms
“Business Day” means a day other than a Saturday, Sunday or public holiday in England. “Charges” means all fees payable for Goods and/or Services. “Customer” means the business purchasing Goods and/or Services. “Goods” means devices, hardware, and related products supplied. “Network Provider” means a telecommunications operator including but not limited to EE, O2, Vodafone and Three. “Network Provider Agreement” means the contract between the Customer and the Network Provider. “Order” means any accepted quotation, proposal or agreement. “Services” means telecommunications solutions, consultancy, provisioning, licensing and support services supplied by Comms Protect Ltd. “Supplier” means Comms Protect Ltd.
3. BASIS OF CONTRACT
These Terms apply to all Orders unless agreed otherwise in writing. A contract is formed when an Order is accepted in writing by the Supplier. These Terms take precedence over any terms submitted by the Customer. The Contract represents the entire agreement between the parties. --- 4. ROLE OF THE SUPPLIER
The Supplier acts as an independent reseller and intermediary. Airtime services are supplied directly by Network Providers under separate agreements with the Customer. The Supplier shall not be liable for: - Airtime billing or charges - Network coverage, performance or availability - Network outages or faults - Tariff changes or contractual terms imposed by Network Providers
5. ORDERS
All Orders are subject to acceptance by the Supplier. Quotations are valid for 30 days unless otherwise stated. Orders may not be cancelled once accepted without written agreement.
6. GOODS
Goods are supplied as described in the Order. The Customer is responsible for ensuring the suitability of Goods for its intended use. No warranty is given as to fitness for a particular purpose.
7. DELIVERY
Delivery dates are estimates only. The Supplier is not liable for delays caused by third parties. Risk in the Goods passes on delivery.
8. TITLE TO GOODS
Ownership of Goods remains with the Supplier until payment has been made in full. The Supplier reserves the right to recover Goods where payment is outstanding.
9. SUPPLY OF SERVICES
Services will be provided with reasonable skill and care. Some Services may depend on third-party providers and platforms.
10. DEVICE CONFIGURATION AND MANAGEMENT
Where devices are supplied with configuration or management services: Devices may be pre-configured or enrolled into management platforms prior to delivery - The Customer is responsible for ongoing management and compliance - The Supplier is not liable for issues arising from removal, misconfiguration or misuse of such systems
11. CUSTOMER OBLIGATIONS
The Customer shall: - Provide accurate information - Comply with all applicable laws and network provider terms - Use services responsibly and lawfully - Notify loss or misuse of devices
12. CHARGES AND PAYMENT
All Charges are exclusive of VAT. Invoices must be paid within agreed payment terms. Late payment may result in: - Interest charges - Suspension of services - Recovery costs All payments must be made in full without set-off or deduction.
13. HARDWARE AND NETWORK CONTRACTS
Where Goods are supplied in connection with network agreements, early termination of the Network Provider Agreement may result in the full cost of Goods becoming immediately payable.
14. PRICE CHANGES
The Supplier reserves the right to adjust pricing to reflect: - Supplier or manufacturer changes - Market or economic conditions - Changes imposed by third parties
15. LIABILITY
Nothing in these Terms excludes liability for death, personal injury, or fraud. To the fullest extent permitted by law, the Supplier shall not be liable for: - Loss of profit, revenue or business - Loss of data - Indirect or consequential loss Total liability shall be limited to the value of Goods or Services supplied.
16. SERVICE AVAILABILITY
Services are provided on an “as available” basis. The Supplier does not guarantee uninterrupted or fault-free service.
17. RECOMMENDATIONS
Any advice or recommendations are provided in good faith. The Customer remains responsible for its decisions and outcomes.
18. CONFIDENTIALITY
Both parties agree to keep confidential any commercial or sensitive information obtained during the relationship.
19. DATA PROTECTION
Both parties shall comply with UK GDPR and applicable data protection legislation. A separate Privacy Policy applies.
20. TERMINATION
Either party may terminate a Contract: - Following expiry of any agreed term - For material breach - For non-payment - In the event of insolvency 21. FORCE MAJEURE
The Supplier shall not be liable for failure or delay caused by events beyond its control, including: - Network failures - Supplier disruption - System outages - Acts of God
22. SUSPENSION
The Supplier may suspend services where: - Payment is overdue - Misuse is suspected - Required by law or third parties Charges may continue during suspension.
23. INTELLECTUAL PROPERTY
All intellectual property rights remain the property of the Supplier or its licensors. No rights are transferred unless expressly agreed in writing.
24. WEBSITE USE
Content on this website is provided for general information only and may change without notice. The Supplier makes no guarantees as to accuracy or completeness and shall not be liable for reliance placed on such content.
25. GENERAL
No variation of these Terms shall be valid unless agreed in writing and noted on an order form. No partnership or agency relationship is created. Failure to enforce any right does not constitute a waiver.
26. GOVERNING LAW
These Terms shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
